$300 or less XBMC/Boxee Build - Giving up on Boxee Box

Hi everyone --

I've given up on the Boxee box -- the software updates are coming too slow. I've decided to build myself a small HTPC that brings in content from my 8TB Windows Home Server. I want Hulu, Netflix etc. on it. It also needs to do HDMI audio as well.

1) What will you be doing with this PC? Gaming? Photoshop? Web browsing? etc
Media Center hooked up to a 46" Samsung 1080p TV
2) What's your budget? Are tax and shipping included?

3) Where do you live?

4) What exact parts do you need for that budget? CPU, RAM, case, etc. The word "Everything" is not a valid answer. Please list out all the parts you'll need.

10) Do you already have a legit and reusable/transferable OS key/license? If so, what OS? Is it 32bit or 64bit?

If not and if you can buy before the 31st, I recommend this:

This just might do the trick! I have one of those Sony Sound bars -- it's 5.1 -- but it's not. Kind of confusing. Are there any motherboards that have 'dedicated' video cards that will do HD/5.1 Audio? The 5570 isn't bad at all -- I'm just curious.
